Objetivos
Diretos humanos são tradicionalmente associados a um conjunto de direitos e deveres atribuídos aos indivíduos frente ao Estado. Desde os anos 1990, com o avanço da globalização e expansão das empresas, iniciou-se um novo movimento internacional de responsabilização dessas empresas por violações a diversos direitos humanos, incluindo trabalho escravo, desastres ambientais e discriminações religiosas, de gênero e raça. O curso de Direitos Humanos e Empresas busca realizar um mapeamento analítico e institucional do papel das empresas para promoção dos direitos humanos, destacando-se questões e práticas relacionadas à responsabilidade corporativa. O curso foi estruturado em duas partes: a primeira apresenta os contextos jurídico, econômico, político e social que tem impulsionado e moldado o atual campo dos direitos humanos para negócios, incluindo questões de poder, impactos na aquisição de direitos e fortalecimento da sociedade civil; a segunda parte abordará os desafios jurídicos para definição e inovação das obrigações das empresas em relação aos direitos humanos, incluindo compliance, esfera de influência, jurisdição extraterritorial, responsabilidade do Estado de origem e cadeias de fornecimento.

Programa Resumido
Nos últimos anos, estruturou-se um sólido debate sobre o desafio de estender as normas de direitos humanos aos atores empresariais. Ativistas em direitos humanos têm se concentrado, historicamente, em pleitos perante o Estado. Recentemente, houve um crescimento exponencial do alcance e da influência das empresas, e consequentemente do impacto que produzem nos direitos humanos. Ativistas e acionistas exigem maior transparência e relatórios sobre direitos humanos. A Organização das Nações Unidas, a OCDE e os bancos multilaterais adotam padrões de direitos humanos para empresas. Portanto, um corpo normativo (doméstico e internacional) cada vez mais sólido passa a definir o escopo de obrigações corporativas.

Esta disciplina explora a imbricação da relação entre negócios e direitos humanos, destacando-se questões e práticas relacionadas à responsabilidade corporativa.  A primeira parte da disciplina traça os contextos jurídico, econômico, político e social que tem impulsionado e moldado o atual campo dos direitos humanos para negócios, incluindo questões de poder, impactos na aquisição de direitos e fortalecimento da sociedade civil. 

Em seguida, o curso abordará os desafios jurídicos para definição das obrigações das empresas em relação aos direitos humanos, incluindo compliance, esfera de influência, jurisdição extraterritorial, responsabilidade do Estado de origem e cadeias de fornecimento.  Por fim, busca-se identificar, numa perspectiva crítica, os esforços para implementação de ferramentas de accountability, incluindo procedimentos voluntários, relatórios, iniciativas multi-stakeholder, supervisão multilateral e litígios domésticos.

Parte I – Direitos humanos e negócios: passado e presente 
1. Direitos humanos e as lacunas da governança global;
2. Ações da Organização das Nações Unidas;
3. Princípios orientadores da Organização das Nações Unidas e ponderações;
4. Canais estratégicos para a viabilidade dos princípios orientadores da Organização das Nações Unidas;
5. Debates fundacionais: perspectivas éticas, legais e de políticas públicas;

Parte II – Proteger, Respeitar e Remediar: Aspectos Práticos da Relação entre Empresas e Direitos Humanos
6. Sistemas de controle de riscos internos;
7. Políticas de monitoramento de cadeias de produção; 
8. Auditoria em direitos humanos;
9. Transparência e mecanismos de denúncia interna e externa;
10. Promoção dos direitos humanos no setor financeiro internacional;
11. Promoção dos direitos humanos nos mercados de capitais;
12. Jurisdição extraterritorial na aplicação dos direitos humanos.

Métodos Utilizados:
Aulas teóricas e práticas, além de seminários e monitorias. Para cada aula expositiva, os alunos deverão fazer leituras prévias dos textos recomendados. Além das leituras, os alunos articularão a perspectiva analítica do direito e seus instrumentos por meio da resolução de estudos de casos apontados nos seminários e monitorias.

Atividades Discentes :
Para que o aprofundamento teórico e o raciocínio jurídico possam ser estimulados dentre os alunos da Faculdade de Direito da Universidade de São Paulo, serão realizados estudos de caso, mediante os quais os alunos deverão aplicar os conhecimentos teóricos adquiridos nas aulas expositivas e nas leituras obrigatórias em casos práticos previamente selecionados.
No início do semestre, os alunos serão divididos em grupos. Todos os alunos do grupo deverão responder aos problemas propostos pelo seu respectivo monitor, baseados nos textos obrigatórios da disciplina.

Critérios de avaliação de Aprendizagem:
Atribuição de valores às provas de avaliação que serão realizadas, pelo menos duas vezes por semestre, aferindo-se o aproveitamento dos alunos. Será levada em conta, a assiduidade e a participação do aluno nos seminários e monitorias. A média poderá ser obtida por ponderação.

Normas de Recuperação (critérios de aprovação e épocas de realização das provas ou trabalhos):
A aprovação na reavaliação será a obtenção de nota acima de cinco (5,0) entre a média do semestre e a prova de reavaliação. Estará apto a efetuar a prova o aluno que tiver como média final no mínimo três (3,0) e tiver no mínimo 70% (setenta por cento) de frequência nas aulas, ao longo do semestre.

Método
Aulas teóricas e práticas, além de seminários e monitorias. Para cada aula expositiva, os alunos deverão fazer leituras prévias dos textos recomendados.
